The terms governing access to and use of Fermions websites, products, services, and related materials.

These Terms of Service govern your access to and use of the Fermions ASI Corp. website located at https://fermions.co, the SAiGE platform, our research and technical materials, downloadable documents, product demonstrations, contact channels, and any related services that Fermions makes available to prospective customers, partners, and users.
By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree to these Terms, you should not access or use the website or services.
1. Scope of These Terms
These Terms apply to your use of the Fermions website, product information, research papers, white papers, technical reports, downloadable PDFs, demo request workflows, contact forms, user account areas, and any current or future access to SAiGE or related Fermions services, unless a separate written agreement governs the applicable service relationship.
If you are using our services on behalf of a company, institution, or other legal entity, you represent that you have authority to bind that entity to these Terms, and references to “you” include that entity.
2. About Fermions and SAiGE
Fermions ASI Corp. develops AI-assisted systems and software intended to support semiconductor chip design workflows. SAiGE is designed to assist with activities such as design exploration, architecture analysis, RTL-related workflows, verification support, documentation, and other engineering processes relevant to digital chip development.
Our website may also provide information about company capabilities, technical viewpoints, publications, product direction, enterprise engagement opportunities, and other materials related to Fermions and its offerings.
3. Eligibility and Acceptable Use
You may use the website and services only in compliance with applicable law and only for legitimate business, research, evaluation, or informational purposes.
- You must not use the website or services in a manner that violates any applicable law, regulation, or contractual restriction.
- You must not attempt to gain unauthorized access to any account, environment, system, infrastructure, dataset, or confidential information.
- You must not interfere with or disrupt the security, integrity, or operation of the website or services.

5. Product Information, Roadmaps, and Availability
The website may describe existing capabilities, experimental features, product concepts, technical approaches, benchmarks, roadmaps, integrations, or future functionality. Such information is provided for general informational purposes only and does not constitute a binding commitment to deliver any feature, timing, performance level, compatibility, or commercial offering.
Fermions may change, discontinue, delay, or limit any aspect of the website, SAiGE, related services, or supporting materials at any time without notice.
6. Research Papers, White Papers, Technical Reports, and Downloads
Fermions may publish research papers, white papers, technical reports, benchmark materials, case studies, blog content, and downloadable PDFs. These materials may include technical assumptions, preliminary findings, conceptual approaches, or research conclusions based on limited conditions or specific evaluation contexts.
You are responsible for independently reviewing and validating any publication or downloadable material before relying on it for engineering, procurement, commercial, safety, compliance, or operational decisions. Publication of a document does not mean that a feature, workflow, or technical result is generally available or suitable for your intended use case.
7. AI-Assisted Outputs and Human Review
SAiGE and related Fermions services may generate or support AI-assisted outputs, including workflow suggestions, design insights, architecture ideas, documentation, code-related artifacts, verification-related materials, summaries, analyses, or technical recommendations.
All AI-assisted outputs require qualified human review. You remain solely responsible for reviewing, testing, validating, approving, and determining the suitability of any output before using it in research, design, verification, production, tapeout, manufacturing, customer delivery, or other real-world workflows.
- AI-assisted outputs may be incomplete, inaccurate, outdated, biased, or unsuitable for your environment.
- Outputs may not reflect all design constraints, performance requirements, verification requirements, compliance obligations, or customer-specific conditions.
- Fermions does not guarantee that AI-assisted outputs will be correct, error-free, secure, synthesizable, manufacturable, compliant, or fit for any particular purpose.
8. Submitted Materials and Customer Data
If you submit prompts, specifications, datasets, code, design files, technical documents, evaluation feedback, or other materials to Fermions, you represent that you have all rights, permissions, and authority necessary to provide those materials and to allow Fermions to use them for the applicable purpose.
Unless otherwise governed by a separate written agreement, you grant Fermions a limited right to access, process, store, reproduce, and use submitted materials as reasonably necessary to provide, support, secure, evaluate, maintain, and improve the relevant services or engagement. Any confidentiality, security, data processing, or data ownership commitments that exceed these Terms must be set out in a separate written agreement.
9. Intellectual Property Rights
Fermions and its licensors retain all right, title, and interest in and to the website, SAiGE, software, models, workflows, interfaces, documentation, research content, downloadable materials, visual assets, trademarks, logos, and all related intellectual property rights.
Except as expressly permitted in writing, you may not copy, modify, distribute, publish, republish, scrape, reverse engineer, decompile, translate, create derivative works from, sell, sublicense, or otherwise exploit any Fermions service or content.
No rights are granted to you by implication, estoppel, or otherwise except as expressly stated in these Terms or a separate written agreement.
10. Feedback
If you provide suggestions, ideas, enhancement requests, comments, or other feedback relating to the website, SAiGE, or Fermions services, you grant Fermions a worldwide, perpetual, irrevocable, royalty-free right to use, incorporate, disclose, and exploit that feedback without restriction or obligation to you.
11. Third-Party Services and Dependencies
Fermions services may interact with or reference third-party tools, cloud platforms, repositories, APIs, model providers, EDA environments, collaboration systems, or external websites. Fermions does not control and is not responsible for third-party services, their security, availability, accuracy, terms, or privacy practices.
Your use of third-party services may be subject to separate terms and conditions between you and the relevant provider.
12. No Professional, Engineering, or Business Warranty
Fermions provides tools and information intended to assist technical and commercial evaluation, not to replace independent engineering judgment, expert review, design signoff processes, legal review, or business decision-making. No statement on the website or in any Fermions service should be interpreted as a guarantee of tapeout success, silicon correctness, manufacturability, verification completeness, compliance, commercial viability, or business outcome.
13. Disclaimers
The website, SAiGE, all research materials, downloadable content, outputs, demonstrations, and related services are provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, Fermions disclaims all warranties and conditions of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, security, reliability, or performance.
Fermions does not warrant that the website or services will be uninterrupted, error-free, secure, or free from vulnerabilities or harmful components.
14. Limitation of Liability
To the maximum extent permitted by law, Fermions and its directors, officers, employees, contractors, affiliates, advisors, licensors, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, use, expected savings, engineering outcomes, or project results, arising out of or relating to your use of or inability to use the website or services.
To the maximum extent permitted by law, Fermions’ aggregate liability arising out of or relating to these Terms, the website, or the services will not exceed the greater of the amounts you paid to Fermions for the specific service giving rise to the claim in the twelve months preceding the claim or one hundred Canadian dollars (CAD $100).
15. Indemnification
You agree to defend, indemnify, and hold harmless Fermions and its directors, officers, employees, contractors, affiliates, and licensors from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to your use of the website or services, your submitted materials, your violation of these Terms, your violation of applicable law, or your infringement of any third-party right.
16. Suspension, Termination, and Survival
Fermions may suspend, restrict, or terminate your access to all or part of the website or services at any time, with or without notice, if we reasonably believe that you have violated these Terms, created legal or security risk, interfered with the services, or acted in a manner that could harm Fermions, its customers, or others.
You may stop using the website or services at any time. Provisions of these Terms that by their nature should survive termination will survive, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.
17. Changes to These Terms
Fermions may revise these Terms from time to time. When we do, we will update the effective “Last Updated” date associated with the Terms page. Your continued use of the website or services after updated Terms become effective constitutes your acceptance of the revised Terms.
18. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them, the website, or the services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that any dispute, claim, or proceeding arising out of or relating to these Terms will be brought exclusively in the courts located in Ontario, Canada, unless applicable law requires otherwise or the parties agree otherwise in a separate written contract.
